Section 8 Company Registration Consultant in Gurugram

A Section 8 company is a non-profit company incorporated under the Companies Act, 2013. For a registered office in Gurugram, the application is filed on the MCA portal and handled by the Registrar of Companies, Haryana, at Chandigarh. ICP Legal prepares the MOA and AOA, files through SPICe+, answers Registrar queries and guides 12A, 80G and CSR-1. We serve Gurugram from our Noida office.

Key Facts

  • Law: Companies Act, 2013, Section 8.
  • Registrar: RoC Haryana, at Chandigarh, covering the whole of Haryana from 16 February 2026.
  • Generally at least two directors and two members for a private Section 8 company.
  • Profits must be applied to the objects. No dividends to members.
  • Haryana stamp rules apply to the incorporation documents.

Haryana now has its own Registrar

Until early 2026, Haryana companies were handled by the Registrar of Companies, Delhi. Since the MCA restructuring effective 16 February 2026, the whole of Haryana, including Gurugram and Faridabad, falls under RoC Haryana at Chandigarh. Filing is still online, so you do not travel to Chandigarh, but queries and notices will come from the new office. Many websites have not updated this.

When a Section 8 company fits

It suits organisations that want a separate legal identity and formal governance, which is helpful with Gurugram's corporate partners. It does not suit founders who cannot manage annual compliance. For a comparison with a trust or society, see our NGO Registration Consultant in Gurugram page.
