NGO Registration Consultant in Delhi

An NGO in Delhi is registered as a trust, a society or a Section 8 company. A trust deed is registered at a Delhi Sub-Registrar office, a society with the Registrar of Societies, Delhi, and a Section 8 company with the Registrar of Companies, which is Delhi-I or Delhi-II depending on your district. ICP Legal helps you choose the structure, complete registration and apply for 12A and 80G. We serve Delhi clients from our Noida office.

Key Facts

  • Delhi is a Union Territory with its own society and registration offices, separate from Uttar Pradesh and Haryana.
  • Three legal forms: trust, society, Section 8 company.
  • A society needs at least seven members.
  • Section 8 companies are filed with the MCA. Delhi has two Registrars of Companies, split by district.
  • After formation: 12A and 80G, and optionally NGO Darpan, CSR-1 and FCRA.
  • Cooperative societies in Delhi are a different thing and are registered by the Registrar of Cooperative Societies.

How Delhi differs from Noida and Gurugram

Delhi is not part of Uttar Pradesh or Haryana, so neither state's society law applies to a Delhi NGO. The office you file with depends on the form you choose and, for a company, on the district of your registered office.

Do not confuse an NGO society with a cooperative society. A cooperative society in Delhi is registered by the Registrar of Cooperative Societies under the Delhi Cooperative Societies Act and serves a different purpose, such as a housing or credit society.

Which Registrar of Companies applies in Delhi

Since the MCA restructuring effective 16 February 2026, Delhi has two Registrars of Companies.

  • RoC Delhi-I: South Delhi, South West Delhi, New Delhi, South East Delhi and East Delhi.
  • RoC Delhi-II: Central Delhi, West Delhi, North Delhi, North West Delhi, North East Delhi and Shahdara.

The registered office district decides the Registrar. For border localities the MCA master data is final, so we check it before filing.

Trust, society or Section 8 company

Trust

  • Created by a deed under the Indian Trusts Act, 1882 and registered at a Delhi Sub-Registrar office.
  • Works for small, long-term charitable projects with a few trustees.

Society

  • Formed by seven or more members under the Societies Registration Act, 1860 as it applies in Delhi.
  • Works for member-led bodies with an elected committee.

Section 8 company

  • A non-profit company under the Companies Act, 2013, filed with the MCA.
  • Works for organisations that expect corporate partners and can handle annual ROC filings and audit.

Choosing for a Delhi NGO

Many Delhi NGOs deal with government departments, CSR teams and funders based across NCR. A funder will mainly check your registration proof, 12A and 80G status, and your accounts. Pick the structure that matches how you will govern and how much compliance you can manage, not the one that sounds most formal.

What comes after registration

  1. Get a PAN for the NGO and open a bank account.
  2. Apply for 12A and 80G on the income tax portal.
  3. Register on NGO Darpan if you plan to seek government grants.
  4. File Form CSR-1 for corporate CSR funding.
  5. Apply for FCRA only if you will accept foreign contributions.
